Constitution

The FRIENDS of ST ANDREW’S GARDENS has been established:

a) As Community based association working on providing a better quality of life for all residents especially in regards to greenery, plantings, quiet and quality living in and around the area known as St Andrew’s Gardens.

b) For the benefit of the Gardens and its Surrounding Area, its plants and structures and for enjoyment of members of the public who use the Gardens and those who live in the Surrounding Area.

c) As a path for the public and residents to express their interest in the Gardens and their Surrounding Area.

NAME: The name of the society shall be “Friends of St Andrew’s Gardens” (herinafter referred to as Friends of SAG)

AREA: a) St Andrew’s Gardens (SAG) King’s Cross ward, Camden

b) Surrounding Area in King’s Cross ward and Holborn/Covent Garden ward – especially Wren St, Gray’s Inn Rd, Cubitt St Pakenham St, Gough St and Calthorpe St.

OBJECTIVES:

a) To promote high standards of greenery, landscape design and architecture and in and around the area affecting SAG.

b) To promote interest and knowledge of the geography, history (natural and garden history) and architecture of SAG and its Surrounding Area.

c) To secure the preservation, conservation, protection, development and improvement of features of greenery, historic and public interest in and around SAG.

d) To voice concerns over areas such as greenery, tree planting, plantings, pollution, traffic, rubbish and obstacles to green, healthy and pleasing living  in and around SAG.

In furtherance of the above Objectives, the Friends of SAG, through its Committee, shall endeavour and have power to:

a) Act as a co-ordinating body and to co-operate with the local authorities, planning committees and all other statutory authorities, voluntary organisations, charities and persons having aims similar to those of Friends of SAG.

b) Stimulate civic pride, give information via literature, reports, published papers, surveys, meetings, on matters relating to SAG or the Surrounding Area and thus promote a green, healthy and pleasing residential area.

c)To further more expand, if necessary, and do all such other lawful things as are necessary for the attainment or betterment of said Objectives.

MEMBERSHIP:

Membership shall be open to all who are genuinely interested in actively supporting and/or furthering the purposes and Objectives of Friends of SAG.  Members details will be stored for the sole purpose of recording said membership of Friends of SAG and only for communication therewith.

MEETINGS:

An Annual General Meeting (AGM) shall be held each year to receive the Committee report and to re-elect Executive Committee members with a seconded nomination presented to the Honorary Secretary at least 7 days prior if so needed.  At least 7 days’ notice will be given to all members of the Friends of SAG of such a meeting.

EXECUTIVE COMMITTEE:

The Executive Committee shall be responsible for the management and administration of Friends of SAG and shall fill a vacancy or add an extra position as deemed necessary in supporting or advancing said Objectives of Friends of SAG.

SUB-COMMITTEES:

The Executive Committee may constitute Sub-Committees from time to time as shall be considered necessary for purposes of meeting Objectives or furthering Objectives. These Sub-Committees shall consist of a Chairman and Secretary appointed by the Executive Committee. All actions and proceedings of each Sub-Committee shall be reported to and be confirmed by the Executive Committee as soon as possible. Members of the Executive Committee may be members of a Sub-Committee. Sub-Committees shall be subordinate to and maybe regulated or dissolved by the Executive Committee.    

AMENDMENTS:

This Constitution may be a) Amended or b) Friends of SAG may be dissolved, by a two-thirds majority of members voting at an annual AGM or at a Special General Meeting, provided that 28 days’ notice of any amendment or dissolvement wishes has been provided to all members.
